These Terms of Use govern access to and use of the KeepAlive service (the "Service"), published by KEEP ALIVE, a French simplified joint-stock company in the process of incorporation, reachable at contact@keep-alive.fr.
Pricing terms, plans, and the right of withdrawal are set out in the Terms of Sale. The processing of personal data is described in the Privacy Policy. Publisher information appears in the Legal Notice.
1. Purpose
These Terms of Use define the conditions under which KEEP ALIVE makes its crisis-management advisory and assistance service available to the user, accessible via a mobile application (iOS and Android) and, depending on the plan, a connected geolocation accessory. They apply to anyone creating an account, whether individually ("B2C") or as part of a subscribing organization ("B2B").
2. Acceptance
Creating an account and/or using the Service implies full acceptance of these Terms of Use, the Terms of Sale, and the Privacy Policy. A user who does not accept these Terms of Use must refrain from creating an account.
3. Description of the service
KeepAlive is a crisis-management advisory and assistance tool designed to make the user autonomous when facing a perceived or actual danger. Depending on the plan, the Service may include: an alert button accessible from the application and, depending on device configuration, the lock screen; verification of the alert; notification of the trusted-contact network ("proxis"); monitoring by an operator-advisor with delivery objectives specific to each plan; a GPS tracker for plans that include it.
⚠️ Warning — read before any use. KeepAlive is not an emergency service. In case of immediate danger, contact public emergency services first: 15 (medical), 17 (police), 18 (fire), or 112 in the EU. KeepAlive is a complementary service to public emergency services; it does not replace them and never substitutes for them in any way. The Service guarantees no delay and no result: KeepAlive implements the means described in these Terms of Use and the Terms of Sale, under an obligation of means, not of result. KeepAlive sends no physical person to the location of an alert.
4. Account and eligibility
Registration is reserved for adults with legal capacity to contract, or a duly authorized representative of a legal entity. Registration requires accurate, complete, and up-to-date information; incorrect or outdated information may compromise verification and handling of an alert. The user is solely responsible for the confidentiality of their login credentials.
5. The "proxis" trusted network
The "proxis" network consists of trusted contacts designated by the user. It is a relay to the user's loved ones, never an emergency service, and does not substitute for public emergency services or the operator-advisor. The user is solely responsible for choosing their proxis and informing them about the related data processing. KEEP ALIVE does not guarantee the availability or actual response of designated proxis.
6. User obligations
- Use the Service for personal purposes consistent with its intended use as an assistance tool;
- never trigger an alert in an abusive, fictitious, or fraudulent manner — a false alert potentially mobilizes an operator-advisor and the proxis network, and may lead to the measures set out in Article 11;
- provide and keep accurate information up to date;
- keep the application updated and enable the necessary technical permissions (location, notifications, microphone);
- not impersonate a third party or misuse the Service.
7. Availability — obligation of means
KEEP ALIVE implements all reasonable means to ensure the availability, reliability, and responsiveness of the Service. This is an obligation of means, not of result. The Service may be interrupted, degraded, or unavailable, notably during maintenance, technical incidents, or circumstances beyond KEEP ALIVE's reasonable control (network coverage, GPS availability, battery level, third-party service performance).
8. Liability
KEEP ALIVE commits to implementing all reasonable means — human and technical — for the proper execution of the Service, under an obligation of means. KEEP ALIVE guarantees neither a result, nor a response time, nor a favorable outcome to a dangerous situation. The Service is complementary to public emergency services: in case of danger, the user must first and in all cases alert public emergency services.
Unless and until an authorized partner is under contract with KEEP ALIVE, the Service includes no physical intervention at the location of an alert; operator-advisors act exclusively remotely.
The positioning of KEEP ALIVE as a crisis-management advisory and assistance company, and of its operators as advisors, is currently being confirmed with the CNAPS (French private-security authority) and legal counsel.
To the extent permitted by law, KEEP ALIVE's liability cannot be engaged in case of force majeure, act of a third party, incorrect information provided by the user, action or inaction of a proxi, or the user's non-compliance with these Terms of Use.
9. Intellectual property
The application, its software components, trademark, trade name, and graphic elements remain the exclusive property of KEEP ALIVE, excluding any transfer of rights to the user other than the right of use strictly necessary to use the Service. Details appear in the Legal Notice.
10. Personal data
The processing of the user's personal data is described in the Privacy Policy, which forms an integral part of the contractual relationship.
11. Suspension and termination
KEEP ALIVE may temporarily and proportionately suspend a user's access to the Service in case of breach of proper-use obligations, non-payment, or a proven risk to Service security. The user may terminate their account at any time, under the conditions specified in the Terms of Sale (no-commitment Service).
12. Changes to these Terms of Use
KEEP ALIVE may amend these Terms of Use, notably to evolve with the Service or comply with a legal change. Any substantial change is brought to the user's attention before taking effect; continued use of the Service constitutes acceptance.
13. Applicable law and disputes
These Terms of Use are governed by French law. In case of dispute, the parties will endeavor to resolve it amicably by contacting contact@keep-alive.fr. Any user acting as a consumer has the right to resort free of charge to a consumer mediator; the mediator's contact details are specified in the Terms of Sale.
