Terms of Sale

These Terms of Sale define the conditions under which KEEP ALIVE (a French simplified joint-stock company in the process of incorporation, intended share capital of €10,000, not yet registered, reachable at contact@keep-alive.fr) sells its paid plans, through the mobile application and/or the keep-alive.fr website.
The Terms of Sale are distinct from the Terms of Use, which govern use of the application including its free plan.
1. Plans
The content and delivery times below are objectives, never guarantees.

Prices shown include tax (20% VAT) for individuals; the tax-exclusive price may be shown as additional information and applies to business customers. Billing is annual by default, with monthly and daily alternatives available. Plans have no minimum commitment period.
⚠️ Important notice — read before subscribing. KEEP ALIVE is a complementary service. It never replaces public emergency services — 15 (medical), 17 (police), 18 (fire), 112. The delivery times above are objectives of means: no delay, no result, and no continuous availability is guaranteed. KEEP ALIVE carries out no physical intervention to date; operators and advisors act exclusively remotely.
The positioning adopted — KEEP ALIVE as a crisis-management advisory and assistance company — must be confirmed by the CNAPS and legal counsel before final commercialization.
2. Ordering, billing, renewal
Orders are placed online through the application or website and require express acceptance of these Terms of Sale. Unless the customer cancels before the end of the current period, the subscription automatically renews for a period of the same duration, at the pricing in effect. Payment is processed through an online payment provider (Stripe); KEEP ALIVE does not retain any card data.
3. Right of withdrawal (individual customers)
In accordance with Articles L221-18 et seq. of the French Consumer Code, individual customers have a 14-day period from contract conclusion to exercise their right of withdrawal, without justification, by writing to contact@keep-alive.fr. If the customer expressly requests that Service delivery begin before this period expires, and then exercises the right of withdrawal, they will owe an amount corresponding to the service actually provided up to that decision, calculated pro rata (Art. L221-25 of the Consumer Code). The Free plan, involving no payment, is not concerned by this article.
4. Obligation of means and liability
KEEP ALIVE commits to implementing all reasonable means to ensure the proper functioning of the Service and, depending on the plan, contact by an advisor within the objective times indicated above. KEEP ALIVE is bound by an obligation of means, not of result, across all components of the Service.
Proper functioning of the Service depends on factors beyond KEEP ALIVE's control: network coverage, GPS availability, device battery level, and the performance of third-party services (Apple/Google notifications, payment provider, hosting). A failure of any of these elements cannot engage KEEP ALIVE's liability under an obligation of result, which does not exist. It is reiterated that the Service never replaces public emergency services.
5. Termination, refunds, suspension
The customer may cancel their subscription at any time, without penalty or justification, from the application or by email to contact@keep-alive.fr. KEEP ALIVE may terminate or suspend access in case of non-payment or serious breach of the Terms of Use/Sale, after a formal notice remains unaddressed, except in urgent cases. The Free plan remains accessible unless a breach specific to it occurs.
6. Customer service and mediation
For any question or complaint: contact@keep-alive.fr. In accordance with Articles L611-1 et seq. of the French Consumer Code, individual customers have the right to resort free of charge to a consumer mediator in case of an unresolved dispute. Enrollment with a consumer mediator, a legal prerequisite for commercialization, is currently being arranged; contact details will be added here once designated. Cross-border EU disputes may also be brought before the European online dispute resolution platform: ec.europa.eu/consumers/odr.
7. Personal data
The processing of personal data is described in the Privacy Policy, a separate document that forms an integral part of the contractual relationship.
8. Force majeure
Neither party may be held liable for a failure to perform resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code.
9. Applicable law and disputes
These Terms of Sale are governed by French law. For individual customers, in accordance with Article R631-3 of the Consumer Code, disputes may be brought before the court of the customer's place of residence at the time of contract conclusion, or any other territorially competent court. For business customers, the competent court will be specified upon company registration.
